Terms & Conditions

URNow Foundation is a private foundation registered in the Cook Islands under the Foundations Act 2012, Registration# FA15503/2024, committed to the principles of voluntary cooperation, non-aggression, and economic freedom. The Platform is operated by URNow Foundation. Any contractual relationship between you and us is deemed entered into and performed under Cook Islands law.

By creating an account, you declare and warrant that:

• You are at least 18 years of age and have the legal capacity to enter into a binding agreement;
• You are participating in a personal capacity, not on behalf of any other person or entity;
• All information you provide at registration and throughout your use of the Platform is true, accurate, and complete, and you will notify us of any changes immediately;
• Your participation complies with all laws applicable in your jurisdiction — it is your sole responsibility to determine whether use of the Platform is lawful where you reside;
• You will not attempt to circumvent any geographic restriction using a VPN, proxy, or similar service.

Employees of URNow Foundation and their immediate family members are not eligible to participate in Promotions.

Single Account. You are permitted to maintain only one account on the Platform. Attempts to open more than one account may result in all accounts being suspended or closed.

Account Security. You are solely responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account, whether or not authorized by you. Notify us immediately at support@urnow.org if you suspect unauthorized access.

Account Accuracy. You must keep registration details accurate and up to date at all times. Do not create a new account to change your email or name — contact support@urnow.org instead.

Account Transfers. You may not transfer, sell, or share your account with any other person. Any attempt to do so is grounds for immediate account closure.

Inactive Accounts. We reserve the right to close Inactive Accounts after 12 consecutive months of no login activity with reasonable notice where practicable. Closure forfeits all Promotional Points.

Subject to your compliance with these Terms, URNow Foundation grants you a personal, revocable, non-exclusive, non-transferable, non-sublicensable, limited licence to access and use the Platform solely for your personal, non-commercial use. This licence does not grant you rights to access source code or underlying software. All intellectual and industrial property rights in the Platform remain the sole property of URNow Foundation or its licensors. All licence grants terminate immediately upon any termination of these Terms. You may not reproduce, duplicate, copy, sell, resell, or exploit any portion of the Platform without our express prior written permission.

• Defender — Free. Includes Foundation newsletter, public document library, Promotions access via daily claim, and ability to donate.
• Guardian — $9.99/month. All Defender benefits plus full article library, video vault, PDF library, and daily Promotional Points bonus.
• Patriot — $99.99/month. All Guardian benefits plus access to the private member forum and chat, early access to new content, and VIP support.

Paid membership fees are charged monthly in advance and are non-refundable except as required by applicable law. We reserve the right to modify, add, or remove membership features or tier pricing with reasonable notice to members.

No Purchase Necessary. No purchase is necessary to participate in URNow Promotions. Defender members may access Promotions through the free daily claim process.

Eligibility. Participants must be 18 years of age or older. Promotions are void where prohibited by law. It is your sole responsibility to determine whether participation is lawful in your jurisdiction.

Promotional Points. Promotional Points have no monetary value outside of the Platform redemption process. They cannot be sold, transferred between accounts, or redeemed for cash except through the designated redemption process. Points credited in error remain Foundation property and will be recovered. Points expire 60 days after your last login.

Abuse. We reserve the right to withhold, cancel, or void any Promotional Points or prizes if we reasonably determine a member has abused the system, engaged in Fraudulent Conduct, or exploited any error or malfunction.

Platform Discretion. We reserve the right to modify, suspend, or discontinue any Promotion at any time without prior notice. In the event of a system malfunction, affected Promotion activity may be declared void.

Access to the private member forum and chat is available to Patriot-tier members. By posting User Content, you agree that:

• You are solely responsible for all User Content you post and for ensuring it complies with applicable law and these Terms;
• User Content you post may be visible to other members of the same tier or feature;
• You will not post content that is unlawful, defamatory, harassing, threatening, abusive, obscene, discriminatory, fraudulent, or that infringes the intellectual property or privacy rights of any person;
• You will not post spam, commercial solicitations, or promotional content for third-party products or services;
• You will not use forums or chat rooms to coordinate any activity that violates these Terms or applicable law;
• You will not collude or coordinate with other members in any scheme designed to manipulate Promotions or circumvent Platform rules;
• URNow Foundation may — but is not obligated to — monitor, review, edit, or remove any User Content at its sole discretion and without notice;
• URNow Foundation reserves the right to revoke forum and chat access, or terminate your account, for any violation of these community standards;
• By posting User Content, you grant URNow Foundation a non-exclusive, royalty-free, perpetual, worldwide licence to display, store, and moderate that content for the purposes of operating the Platform.

No Endorsement. URNow Foundation expressly disclaims any responsibility for opinions, statements, or advice expressed by members in interactive areas of the Platform.

The Platform may provide access to information, articles, links, videos, or content from third parties. You acknowledge and agree that:

• URNow Foundation makes no warranty regarding the accuracy, completeness, legality, or reliability of any Third-Party Content;
• Third-Party Content does not represent the views or positions of URNow Foundation unless expressly stated;
• URNow Foundation is not responsible for any Third-Party Content or for the content or availability of any third-party website linked from the Platform;
• Links to third-party websites do not constitute endorsement or sponsorship by URNow Foundation;
• URNow Foundation shall not be a party to, or monitor, any transaction between you and any third-party provider;
• Your access to and use of Third-Party Content or external websites is entirely at your own risk.

You will not, directly or indirectly:

• Use the Platform for any unlawful, fraudulent, or prohibited purpose;
• Create multiple accounts to circumvent any restriction or gain an unfair advantage;
• Hack, reverse engineer, modify, or disrupt any part of the Platform;
• Introduce viruses, malware, bots, or automated systems to interact with the Platform;
• Misrepresent your identity, age, or eligibility at any time;
• Use a VPN, proxy, or similar service to mask your location or circumvent restrictions;
• Transfer, sell, or share Promotional Points or account access with any other person;
• Engage in collusion, coordinated manipulation, or any scheme designed to abuse Promotions;
• Post User Content that is unlawful, defamatory, harassing, abusive, or infringes third-party rights;
• Use the Platform to facilitate money laundering or any financial crime;
• Reproduce, resell, or exploit any portion of the Platform without our express prior written permission.

If we suspect Fraudulent Conduct, your account will be suspended immediately and may be permanently closed. We reserve the right to withhold Promotional Points or prizes, report conduct to relevant authorities, and pursue all available legal remedies. You will cooperate fully with any investigation.

All content on the Platform — including text, graphics, the URNow Foundation name, pine tree seal, and all associated marks — is the intellectual property of URNow Foundation and is protected under applicable law. Your limited licence does not grant you any intellectual property rights in any content, feature, or software. You must not reproduce, modify, distribute, or create derivative works from any Platform content without prior written permission.

All payments are processed in cryptocurrency via NowPayments. By initiating a payment, you acknowledge that cryptocurrency transactions are generally irreversible, that URNow Foundation is not responsible for errors in wallet addresses you provide or exchange rate fluctuations, and that any funds used for payments must be legally owned by you and not derived from any illegal activity. You agree to notify us of any payment discrepancies within 30 days of the transaction date.

Donations made through the Platform are voluntary and non-refundable. Donations to third-party organizations listed on the Platform are processed directly by those organizations under their own terms. URNow Foundation makes no guarantee regarding the tax deductibility of donations in your jurisdiction and does not provide tax or legal advice.

We reserve the right to interrupt the Platform for maintenance, system updates, or any other reason, informing members where reasonably practicable. The Platform may be unavailable due to events outside our reasonable control. We reserve the right to modify, suspend, or discontinue any feature of the Platform at any time with or without notice. We will not be liable for any loss arising from any modification, suspension, or discontinuance of the Platform.

The Platform is provided strictly on an "as is" and "as available" basis. To the maximum extent permitted by law, URNow Foundation expressly disclaims all warranties, express or implied, including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement. URNow Foundation does not warrant that the Platform will be uninterrupted or error-free, and does not warrant, endorse, or assume responsibility for any third-party product, service, or content accessible through the Platform.

To the maximum extent permitted by applicable law, URNow Foundation and its founder, council members, officers, agents, and service providers shall not be liable for any indirect, punitive, incidental, special, consequential, or exemplary damages arising from your use of or inability to use the Platform, including any User Content posted by members, any Third-Party Content, or any conduct of any member or third party on the Platform.

Our total liability to you for any claim shall not exceed the total amount you paid to the Foundation in the 12 months preceding the date the claim arose. If you have paid nothing in that period, your sole remedy is to stop using the Platform and close your account.

Indemnity. You agree to defend, indemnify, and hold harmless URNow Foundation and its founder, council members, agents, and service providers from and against any and all claims, liabilities, damages, costs, and expenses (including reasonable legal fees) arising from: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any third-party right; (d) any User Content you post; or (e) your wilful misconduct or fraud.

We reserve the right to suspend or permanently close your account at our sole discretion if we have reasonable grounds to believe you have breached these Terms, provided false information, engaged in Fraudulent Conduct, maintained multiple accounts, become bankrupt, used the Platform from a jurisdiction where it is unlawful, or engaged in abusive conduct toward Foundation staff or members. Upon closure for cause, all Promotional Points and unredeemed prizes are forfeited.

You may close your account at any time by contacting support@urnow.org. Closing your account forfeits all Promotional Points.

URNow Foundation is not a bank or financial institution. You will not receive interest on any Promotional Points or account balances. URNow Foundation does not provide legal, financial, investment, or tax advice. Members are encouraged to seek independent professional advice regarding any legal or tax obligations.

These Terms are governed exclusively by the laws of the Cook Islands. Any legal action arising from these Terms must be brought exclusively before the Cook Islands High Court. Foreign judgments against the Foundation are not enforceable except as provided under Cook Islands law. Foreign laws shall not apply to invalidate these Terms or the Foundation's operations.

Informal Resolution. Before initiating any formal proceeding, both parties agree to attempt good-faith informal resolution for 60 days from written notice of the dispute to support@urnow.org. Neither party may commence formal proceedings before the end of this 60-day period.

Individual Claims Only. All disputes must be brought in your individual capacity. You waive any right to bring claims as part of any class, group, collective, coordinated, or representative action.

Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and URNow Foundation regarding your use of the Platform and supersede all prior communications and agreements.

No Waiver. Our failure to assert any right or provision under these Terms shall not constitute a waiver of that right or provision.

Amendments. We reserve the right to amend these Terms at any time. Material changes will be communicated to members by email with at least 14 days' notice. Continued use of the Platform after notice constitutes acceptance.

Severability. If any provision is found invalid or unenforceable, it will be severed and the remainder will continue in full force and effect.

No Agency. Nothing in these Terms creates any agency, partnership, fiduciary relationship, or joint enterprise between you and URNow Foundation.

Assignment. These Terms are personal to you and may not be assigned without our prior written consent. We may assign our rights and obligations without notice to you.

Language. These Terms are published in English only. The English version is the sole legal basis of the relationship between you and URNow Foundation.

Force Majeure. URNow Foundation will not be liable for any failure or delay caused by circumstances beyond our reasonable control.
